These Affiliate Program Terms (the “Affiliate Terms”) are an agreement between you and Optiarms Inc., doing business as D.A.R.Y.L. Labs (“Daryl Labs”, “we”, “us” or “our”) about the Daryl affiliate program (the “Program”). They supplement our Terms of Service (the “Terms”), which apply to your use of the site and any Daryl account you hold. If you apply to or take part in the Program for a business, you agree on its behalf and confirm you may bind it; “you” then means that business.
1. Program status
The Program opens when Daryl Shield’s paid plans become available. Until then, applications are a waitlist: applying does not make you an affiliate, and no commission is earned on anything before we approve you and the Program opens. We will tell waitlisted applicants by email when it opens. Daryl Shield is in early access, and some features described on our site may not be available yet; please promote only what is available.
2. Definitions
- Referral link: the link we give you, which adds a
?ref=code identifying you to a getdaryl.com address. - Referred customer: an organization that creates a new Daryl account, through your Referral link and within the attribution window, and has not had a Daryl account before.
- Net recurring revenue: the subscription fees for Shield, Autopilot, Agency and Watch plans that we actually collect from a Referred customer, after refunds, credits, discounts, chargebacks, failed payments, taxes and payment processing fees. It excludes one-time purchases (such as Launch Hardening), usage or overage charges billed separately, and amounts we never collect.
- Commission: the amount you earn under section 4.
3. Eligibility, application and approval
To apply, you must be at least 18, able to form a binding contract, and able to receive payments and provide the tax forms in section 6. You may not take part if you are a current employee or contractor of Daryl Labs, or if the law forbids us from paying you, including under US sanctions.
We review each application and may approve or decline it at our discretion, without giving a reason. We look for people who help builders in good faith, such as freelancers who fix apps, educators, creators and community experts. We may ask about where and how you plan to promote Daryl. Approval is personal to you and may not be transferred.
4. Commission
4.1 Rate and duration
For each Referred customer, you earn 30% of the Net recurring revenue we collect from that customer during the first 12 months after their first paid charge. After 12 months, no further Commission is earned on that customer, even if they stay. Free trials, the free Check and periods with no payment earn nothing.
4.2 Attribution
When someone follows your Referral link, we record your code in a first-party cookie on getdaryl.com that lasts 60 days. If they create an account within that time, the referral is recorded against the account at sign-up. If they follow more than one affiliate’s link, the last link followed before sign-up wins (“last click”). A referral cannot be added to an account after it has been created, and we do not use third-party tracking, pixels or cross-site identifiers. If a visitor blocks or clears cookies, or signs up on a different browser, the referral may not be recorded, and we cannot credit you for it. Our records decide attribution.
4.3 No Commission
No Commission is earned on:
- Your own account, or an account of a business you own, work for or control (self-referral).
- Customers who already had a Daryl account, or who came through another channel we can show was the source.
- Referrals obtained in breach of these Affiliate Terms.
- Accounts we close for fraud or breach of the Terms or the Acceptable Use Policy.
5. Payouts
Commission for each month is held for 60 days after the end of the month in which the payment it is based on was collected, so that refunds and chargebacks can be accounted for. After that hold, we pay all Commission then due once a month, provided your balance is at least $50. Smaller balances carry over to the next month. If a payment is refunded or charged back after we have paid you, we may deduct the related Commission from future payouts or ask you to repay it (a clawback). Payouts are in US dollars by the method we offer, and you bear any fees your bank or payment account charges you. If your account is closed with a balance under $50, or you have not given us the tax forms and payment details we need within 12 months of a payout becoming due, that balance is forfeited.
6. Taxes
Before we pay you, you must give us a completed IRS Form W-9 if you are a US person, or Form W-8BEN (or W-8BEN-E for a business) if you are not. We may issue a Form 1099 or other information returns as the law requires, and may withhold tax where the law requires. You are responsible for all taxes on your Commission.
7. How you may promote Daryl
7.1 Disclosure
You must clearly and conspicuously disclose your relationship with us wherever you promote Daryl, as required by the US Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising, and similar laws. The disclosure must be close to the recommendation, easy to notice, and in plain words, such as “I earn a commission if you sign up through my link.” A disclosure hidden behind a “more” link, only on an about page, or only in hashtags is not enough. Your statements must reflect your honest opinion and actual experience.
7.2 Prohibited practices
You must not:
- Bid on “Daryl”, “Daryl Shield”, “getdaryl” or similar terms, or misspellings of them, in search or social advertising, or use them in ad copy, display URLs or domain names.
- Make misleading claims about security, for example that Daryl makes an app impossible to breach or fully secure, that it is live with features that are not yet available, or that it guarantees compliance with any law or standard.
- Say or imply that Daryl, or an app using it, is certified, audited or endorsed, or that Daryl Labs holds certifications it does not hold.
- Send spam or unsolicited bulk messages, or promote Daryl in a way that breaks the rules of the community or platform you post in.
- Scan, or use the Check on, apps you do not own or administer in order to approach their owners, or contact strangers about weaknesses in their apps to sell them Daryl. This is also prohibited by the Acceptable Use Policy.
- Refer yourself, your own businesses, or accounts created to earn Commission.
- List Daryl on coupon, discount, deal or cashback sites, or advertise codes or offers we have not given you.
- Use cookie stuffing, forced clicks, hidden frames, adware, incentivized sign-ups or any other method that records a referral without a genuine visitor choosing to follow your link.
- Impersonate Daryl Labs, or present yourself as our employee, partner or agent.
You are responsible for the content and conduct of anyone you engage to promote Daryl. We may ask you to change or remove content, and you will do so within five business days, or sooner where it breaks the law.
8. Use of our marks
While you are an approved affiliate, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Daryl name, logo and materials we provide, only to promote Daryl under these Affiliate Terms and in line with any brand guidelines we give you. You may not change our logos, register domains, accounts or handles containing our marks, or combine our marks with your own in a way that suggests a partnership. All use benefits Daryl Labs, and the license ends when your participation ends.
9. Independent contractor
You are an independent contractor. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, franchise or agency relationship, and you may not make commitments for us. You are responsible for your own costs, equipment and compliance with the laws that apply to your promotion.
10. Term and termination
These Affiliate Terms start when we approve you and continue until ended. You may leave the Program at any time by emailing hello@getdaryl.com. We may suspend or end your participation at any time, with or without cause, by telling you. If we end it without cause, we will pay Commission already earned once its hold has passed. If we end it because you broke these Affiliate Terms, the Terms or the law, Commission that is unpaid at that point is forfeited, and we may recover Commission paid on referrals obtained in breach. We may also end the Program as a whole with 30 days’ notice, and will pay Commission earned before it ends. Sections 5, 6, 9, 12 and 13 survive.
11. Changes
We may change these Affiliate Terms, including commission rates and payout rules, by giving you at least 30 days’ notice by email. Changes apply to Commission earned after they take effect. If you do not agree, you may leave the Program before they take effect; continuing after that means you accept them.
12. Limitation of liability
The Program is provided “as is”. We do not promise any level of earnings, or that the Program or tracking will be uninterrupted or error-free. To the fullest extent the law allows, Daryl Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or lost profits, arising from the Program, and our total liability to you arising from it will not exceed the Commission paid or owed to you in the 12 months before the claim. You will indemnify Daryl Labs against claims by third parties arising from your promotion, including breach of section 7.
13. General
These Affiliate Terms and the Terms are the entire agreement about the Program. Governing law, venue, assignment, notices, severability and the other general provisions of the Terms apply to them. We will use personal information you give us for the Program as described in our Privacy Policy.
